G+D implements orderly generation change

27/09/2023 Munich Giesecke+Devrient

In the coming months, international technology group Giesecke+Devrient (G+D) will implement a scheduled generational change in its owner family, Supervisory Board, and Management Board. In the shareholder´s circle, Verena von Mitschke-Collande will hand over her functions on the Supervisory Board and Advisory Board to her son Marian von Mitschke-Collande at the beginning of April 2024. In the Supervisory Board meeting today also Jan Thyen was appointed to succeed Dr. Peter Zattler as Group Chief Financial Officer (CFO). Peter Zattler will retire in May next year after the annual financial statements for 2023. Moreover, effective May 2024, Gabriel von Mitschke-Collande was appointed as Group Chief Digital Officer (CDO) to the G+D Group Management Board.

The planned retirement of Verena von Mitschke-Collande (74) as lead shareholder will initiate a generational change in the company's Supervisory Board and Advisory Board. Verena von Mitschke-Collande has represented the entrepreneurial Mitschke-Collande family on G+D's Boards for several decades. "After many eventful and successful years, the right time has now come to place responsibility in the hands of the next generation. I am very happy that we as a family, together with the management, can make a good transition. The entire G+D community can thus look to the future with great confidence," said Verena von Mitschke-Collande. Marian von Mitschke-Collande (43), a sixth-generation member of the family, will take over his mother’s roles on the Supervisory Board and as Deputy Chairman of the Advisory Board, from next April. A graduate in business administration, he is currently Managing Director of G+D Immobilien Management GmbH.

Dr. Ralf Wintergerst, Group CEO of Giesecke+Devrient, paid tribute to Verena von Mitschke-Collande's commitment as a representative of the family. "We are deeply grateful to the Mitschke-Collande family for their ongoing commitment to the company – in good times as well as in critical times. Over several decades, Verena von Mitschke-Collande has enabled the further development of Giesecke+Devrient, ultimately making G+D the successful security technology group it is today. With the support of Marian von Mitschke-Collande and the new management colleagues, we will proceed on our chosen path into the future," explained Ralf Wintergerst. "This means that we will continue to work on implementing our successful strategy with undiminished support from the shareholder family."

In addition, Gabriel von Mitschke-Collande (38), another member of the entrepreneurial family’s sixth generation, will become the Group Chief Digital Officer on the Management Board of the G+D Group as of May 1, 2024. The newly created function is intended to drive the digital transformation of both G+D's business portfolio and its corporate structures and processes even more strongly. The graduate in business administration moves from BayWa AG, where he has held various management positions for six years, most recently also as CDO.

The retiring Group CFO Dr. Peter Zattler (65), who has been responsible for the G+D Group's finances since 2001, will be succeeded by Jan Thyen (52) on May 1, 2024, after a transition period of several months. Jan Thyen previously served as CFO of a division and most recently as Head of Group Strategy at G+D and has been with the technology group since 2010. "The G+D community is very grateful to Peter Zattler for his exceptional and long-standing commitment. He has been responsible for the Group's finances for more than 22 years and with his prudence has contributed greatly to G+D's success. He deserves a great deal of thanks for this," said G+D Supervisory Board Chairman Prof. Klaus Josef Lutz. "A transition of several months also ensures continuity in this function. We are pleased that in Jan Thyen we have found an experienced and competent successor from the ranks of G+D for the tasks ahead."

In addition to the aforementioned new appointments, further scheduled changes in the Supervisory Board and Advisory Board are due to take place next spring.
